Terms of Service

These Terms of Service ("Terms") govern your engagement with and use of Tideon AI's security and assurance services, operated by TVIS Solutions LLC ("we," "our," or "us"). By engaging us or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By engaging our services, you acknowledge that you have read, understood, and agree to these Terms. If you are engaging us on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Tideon provides independent AI security and assurance services, which may include:

  • Independent assessment of production AI systems, including agents, RAG pipelines, and small language models
  • Discovery of prompt-injection paths, over-scoped tool permissions, and data-exposure risks
  • Detection of silent failures and reliability issues in production
  • Remediation guidance and support
  • Ongoing monitoring of production AI systems

The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate engagement agreement, statement of work (SOW), or order form (an "Engagement Agreement"), which forms part of these Terms. Where an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for the services it covers.

3. Engagement and Authorization

Before we assess or access any system, you must:

  • Have the authority to engage us and to authorize our access to the systems, data, and environments within the agreed scope
  • Provide accurate and complete information about the systems in scope
  • Obtain any consents or permissions required from third parties whose systems or data may be affected by the engagement
  • Designate points of contact and provide the timely access, credentials, and cooperation reasonably needed to perform the services

You are responsible for ensuring that our authorized activities within the agreed scope do not violate your agreements with, or obligations to, any third party. We will perform testing and assessment only within the scope you authorize.

4. Fees and Payment

Tideon provides services under an Engagement Agreement that sets out the scope, deliverables, fees, and payment schedule for that engagement. We are a professional services provider — we do not sell recurring software subscriptions.

  • Fees are invoiced as set out in the applicable Engagement Agreement. Unless stated otherwise, invoices are due within 30 days of the invoice date.
  • You are responsible for any applicable taxes, excluding taxes based on our income.
  • Late payments may be subject to a reasonable late fee and/or suspension of services until the balance is resolved.
  • Fees are non-refundable except as expressly provided in the applicable Engagement Agreement or as required by law.

5. Acceptable Use

You agree not to:

  • Engage us to assess or access any system you are not authorized to test
  • Misrepresent the scope, ownership, or sensitivity of the systems or data in an engagement
  • Use our deliverables to violate any law or infringe any third-party right
  • Reverse engineer, resell, sublicense, or misrepresent our methods, tools, or deliverables
  • Violate any applicable laws or regulations

6. Intellectual Property

6.1 Client Materials

You retain ownership of the systems, data, and materials you provide us access to ("Client Materials"). You grant us a limited license to access and use Client Materials solely to perform the services.

6.2 Our Technology and Deliverables

All rights to our methods, tools, software, and know-how remain with TVIS Solutions LLC. Reports and other deliverables we provide are licensed to you for your internal use as set out in the Engagement Agreement. You may not copy, resell, or create derivative works based on our underlying technology.

6.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation or compensation to you.

7. Confidentiality

Each party may receive confidential information from the other in connection with an engagement — including, in our case, details of your systems, vulnerabilities, and data. Each party agrees to protect the other's confidential information with reasonable care, use it only to perform or receive the services, and not disclose it to third parties except to those who need it and are bound by similar obligations, or as required by law. Our findings about your systems are treated as your confidential information.

8. Privacy and Data Protection

In performing the services, we may access personal data within your systems. We process such data only to perform the services and in accordance with our Privacy Policy and any data protection terms in the Engagement Agreement. You acknowledge that we may use third-party providers (including AI providers) to deliver our services, subject to appropriate safeguards.

9. Nature of Services

Security assessment reduces risk but cannot eliminate it. An assessment reflects the systems and information available to us at a point in time, within the authorized scope. We do not warrant that we will identify all vulnerabilities or failure modes, or that your systems will be secure or error-free following an engagement. You remain responsible for the security, operation, and decisions relating to your own systems.

10. Third-Party Services

Our work may involve third-party services and systems (such as cloud providers, AI models, and tools you use). Your use of, and our authorized access to, those services is subject to their respective terms. We are not responsible for the availability or performance of third-party services.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED OUTPUTS AND AUTOMATED FINDINGS MAY CONTAIN ERRORS AND SHOULD BE VERIFIED INDEPENDENTLY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TVIS SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID US FOR THE ENGAGEMENT GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless TVIS Solutions LLC from any claims, damages, or expenses arising from your breach of these Terms, your lack of authorization for systems in scope, or your use of our deliverables in violation of any law or third-party right.

14. Termination

Either party may terminate an engagement as set out in the applicable Engagement Agreement. On termination, we will, at your request, return or securely destroy Client Materials in our possession, except as required to be retained by law. Fees for services performed up to the termination date remain payable. Sections that by nature should survive termination will remain in effect.

15. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Austin, Texas.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be notified to active clients at least 30 days before taking effect. Continued use of our services after changes constitutes acceptance of the revised Terms.

17. Miscellaneous

These Terms, together with any Engagement Agreement, constitute the entire agreement between you and TVIS Solutions LLC. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right or provision is not a waiver of that right.
